1. Acceptance of Terms

By creating an account or using Gabby ("Service"), you agree to these Terms of Service ("Terms") on behalf of yourself or the organization you represent. If you do not agree, do not use the Service. These Terms form a binding agreement between you and Gabby ("we", "us", "our").

2. Service Description

Gabby provides a platform for businesses to create, deploy, and manage AI-powered chat widgets on their websites. Core features include:

• AI chatbot configuration and branding.
• Knowledge base management (text, URLs, PDFs, FAQs).
• Retrieval-augmented generation (RAG) for accurate, grounded responses.
• Conversation analytics and lead capture.
• Embeddable widget via a single script tag.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access. You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Publish or distribute illegal, harmful, or deceptive content.
• Impersonate another person or entity.
• Attempt to reverse-engineer, scrape, or disrupt the Service.
• Send spam or unsolicited communications through your chatbot.
• Train competing AI models using data derived from the Service.

We reserve the right to suspend or terminate accounts that violate these rules.

5. Intellectual Property

Platform: We own all rights to the Gabby platform, software, design, and brand. Nothing in these Terms grants you rights to our intellectual property beyond a limited license to use the Service.

Your content: You retain ownership of all content you upload (knowledge base articles, FAQs, business information). You grant us a limited license to process and store that content solely to provide the Service.

6. Payment and Subscriptions

Gabby offers subscription plans (free, pro, and enterprise). Paid plans are billed monthly or annually via Stripe. Subscription billing is coming soon — current users are on a free early-access tier.

Once billing is enabled, you authorize us to charge your payment method on a recurring basis. You may cancel at any time; cancellation takes effect at the end of your current billing period.

7. Service Availability

We make commercially reasonable efforts to keep Gabby available and reliable. However, we do not guarantee 100% uptime. We are not liable for losses caused by outages, scheduled maintenance, or events outside our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Gabby and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service — including but not limited to loss of revenue, data, or business opportunities. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

Either party may terminate at any time. You may close your account from the dashboard or by contacting us. We may suspend or terminate your account for violations of these Terms with or without notice.

Upon termination, you may export your knowledge base content. We will delete your data within 30 days of account closure, except where retention is required by law.

10. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in courts of competent jurisdiction within the United States.

11. Changes to Terms

We may update these Terms from time to time. We will notify you via email before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
